ARTWORK TRANSFER AGREEMENT & RESALE ROYALTY
Buyer agrees to the following terms
RESALE ROYALTY
The Buyer agrees that if they sell the Work, the Artist is entitled to a royalty of 10% of the gross sale price, payable within 30 days of the resale. The Buyer must notify the Artist in writing of the final sale price and the new owner's identity.
REPRODUCTION RIGHTS (COPYRIGHT)
Consistent with New York Arts and Cultural Affairs Law § 14.01, the Artist expressly reserves all reproduction rights and copyright to the Work.
Ownership: The Buyer owns the physical Work only. The Artist retains the exclusive right to create copies, prints, or derivative works.
Limited License: The Buyer is granted a non-exclusive license to use images of the Work for personal, non-commercial purposes (e.g., social media posts of their collection).
PUBLIC EXHIBITION REQUIREMENTS
To protect the Artist’s reputation and the Work’s provenance:
Loan for Exhibition: The Artist reserves the right to borrow the Work for a period not exceeding 60 days every 5 years for a professional exhibition (such as a retrospective), at no rental cost to the Artist. Shipping and insurance for such loans shall be paid by the Artist.
Exhibition Credit: If the Work is publicly displayed or published in a catalog, the Buyer shall ensure the Artist is credited as follows: "Artwork by Paula Wolf".
Integrity of Work: Per the New York Artists’ Authorship Rights Act, the Work may not be displayed or published in an altered, defaced, or mutilated form that would likely damage the Artist’s reputation.
BINDING SUBSEQUENT PURCHASERS
The Buyer must include these terms in any future bill of sale to ensure these rights follow the work to all future owners.
GOVERNING LAW
This agreement is governed by the laws of the State of New York.
